Terms and Conditions

These Terms and Conditions ("Terms") form a binding agreement between you ("Customer," "you," or "your") and KpiClock ("we," "us," or "our"), a company organized under the laws of the State of New York, USA, governing your access to and use of the KpiClock website, desktop applications, and related services (collectively, the "Service").

By creating an account, starting a free trial, or otherwise using the Service, you agree to these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case "you" refers to that entity.

If you do not agree to these Terms, do not use the Service.

1. Description of the Service

KpiClock provides a workforce management platform that may include time tracking, attendance and shift management, productivity and activity monitoring (including optional screenshot capture), leave management, electronic document signing, and related reporting and integration features, as further described on our website and in your selected subscription plan.

2. Eligibility and Accounts

You must be at least 18 years old and capable of forming a binding contract to create an account.

  • You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

  • You must provide accurate, current, and complete information when registering and keep it up to date.

  • You are responsible for all "End Users" you invite to your workspace (e.g., employees, contractors, or team members), including ensuring they are aware of and, where required, have consented to the monitoring features described in Section 6.

3. Free Trial

We may offer a 14-day free trial. At the end of the trial period, unless you cancel before it ends, your account may automatically convert to a paid subscription, and payment will be charged using the payment method on file, if one has been provided. We may modify or discontinue the free trial, or any part of it, at any time without notice.

4. Subscription Plans, Fees, and Billing

Current plans and pricing are listed at kpiclock.com/pricing and are billed per active user, per month or per year, depending on your chosen billing cycle.

  • Fees are billed in advance and are non-refundable except as expressly stated in our Refund and Cancellation Policy.

  • We may change our pricing on renewal by giving you at least 30 days' notice. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.

  • You are responsible for all applicable taxes, and prices displayed may not include tax unless stated otherwise.

  • If a payment fails, we may suspend or limit access to the Service until payment is resolved.

5. Cancellation

You may cancel your subscription at any time from your account settings. Cancellation will take effect at the end of your current billing period, and you will retain access to the Service until that date. See our Refund and Cancellation Policy for details on refunds.

6. Customer Responsibilities for Monitoring Features

KpiClock's Service includes tools that allow a Customer to track time, activity levels, application and URL usage, and, if enabled, periodic screenshots of End Users' devices while a time tracker is active. By enabling any such feature, you (the Customer) represent and warrant that:

  • you have all rights, consents, and legal basis required under applicable law (including labor, employment, and data protection law in every jurisdiction where your End Users are located) to monitor your End Users in this manner;

  • you have provided clear, adequate notice to your End Users describing what is tracked, when, and why, before enabling monitoring for them;

  • your use of the monitoring features complies with all applicable laws, workplace agreements, and collective bargaining obligations; and

  • you will not use monitoring data to discriminate against, harass, or unlawfully surveil any individual.

KpiClock acts on your instructions with respect to End User monitoring data and is not responsible for your decision to enable, configure, or act upon any monitoring feature. See our Acceptable Use Policy and Data Processing Agreement for further detail.

7. Acceptable Use

Your use of the Service is also governed by our Acceptable Use Policy, which is incorporated into these Terms by reference. Violation of the Acceptable Use Policy may result in suspension or termination of your account.

8. Data and Privacy

Our collection and use of personal data in connection with the Service is described in our Privacy Policy. Where KpiClock processes End User personal data on your behalf as a data processor, the terms of our Data Processing Agreement apply.

9. Intellectual Property

The Service, including all software, text, graphics, logos, and other content (excluding Customer Data), is owned by KpiClock or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service during your subscription term, solely for your internal business purposes. You retain all rights to the data, files, and content you upload or generate through the Service ("Customer Data"), and you grant us a limited license to host, process, and display that data solely to provide the Service to you.

10. Third-Party Integrations

The Service may integrate with third-party platforms (for example, ClickUp, Linear, Trello, Asana, Jira, or Monday.com). Your use of such integrations is subject to the third party's own terms and privacy policy, and we are not responsible for the availability, content, or practices of third-party services.

11. Electronic Signatures

Document signing features are intended to comply with the U.S. Electronic Signatures in Global and National Commerce Act (ESIGN Act) and applicable state equivalents (such as UETA), as well as comparable electronic signature laws in other jurisdictions. You are responsible for determining whether electronic signature is legally sufficient for a particular document or transaction under applicable law.

12. Confidentiality

Each party agrees to protect the other party's non-public, confidential information with the same degree of care it uses for its own confidential information of similar importance, and not to disclose it to third parties except as necessary to perform its obligations, comply with law, or as otherwise permitted under these Terms.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KPICLOCK AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

15. Indemnification

You agree to indemnify, defend, and hold harmless KpiClock and its officers, employees, and affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from: (a) your use of the Service in violation of these Terms or applicable law; (b) your failure to obtain required consents or provide required notices to End Users regarding monitoring; or (c) Customer Data you upload to the Service.

16. Term and Termination

These Terms remain in effect while you use the Service. We may suspend or terminate your access if you materially breach these Terms and fail to cure the breach within a reasonable period after notice, or immediately in cases of illegal use, non-payment, or security risk. Upon termination, your right to use the Service ends, and we will handle Customer Data as described in our Privacy Policy and Data Processing Agreement.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New York, USA, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms will be subject to the exclusive jurisdiction of the courts located in New York, New York, USA, unless otherwise required by applicable consumer protection law.

18. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

19. General

Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.

  • Entire Agreement: These Terms, together with the Privacy Policy, Acceptable Use Policy, and any Data Processing Agreement, constitute the entire agreement between you and KpiClock regarding the Service.

  • Force Majeure: Neither party is liable for delays or failures caused by events beyond its reasonable control.
